TERMS OF SERVICE

1. About These Terms
These Terms of Service ("Terms") govern your access to and use of all services offered by Temzyola Tech Limited ("Company," "we," "us," or "our"), including our website, communication channels (WhatsApp, Telegram), and all digital brokerage and advertising services we provide.
By engaging with Temzyola Tech Limited — whether through our website, WhatsApp, Telegram, email, or any other channel — you ("User," "Buyer," "Seller," "Client") agree to be legally bound by these Terms. If you do not agree, you must discontinue use of our services immediately.
These Terms constitute a legally binding agreement between you and Temzyola Tech Limited under the laws of the Federal Republic of Nigeria, including the Companies and Allied Matters Act (CAMA) 2020, the Federal Competition and Consumer Protection Act (FCCPA) 2018, and applicable Nigerian digital commerce regulations.

3. Services Offered
Temzyola Tech Limited provides the following services:
- Digital Asset Brokerage: Facilitating the buying and selling of monetized YouTube channels, AdSense-approved websites, and other digital income-generating properties.
- MA ADX Approval Service: Assisting blog owners in obtaining Google Ad Manager Multiple Customer Management (MCM) ADX approval.
- TikTok Ads Management: Planning, creating, and managing TikTok advertising campaigns for clients.
- Buyer–Seller Connect: Acting as a neutral, verified intermediary between buyers and sellers of digital assets.
- Digital Asset Consulting: Advisory services related to digital asset acquisition, monetization, and growth strategies.
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to affected clients.
4. User Eligibility & Registration
4.1 Age Requirement
You must be at least 18 years of age to use our services. By engaging with us, you confirm that you meet this requirement.
4.2 Capacity to Contract
You confirm that you have the full legal capacity to enter into a binding contract under Nigerian law or the laws of your country of residence. If you are transacting on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
4.3 Accurate Information
You agree to provide accurate, complete, and current information when engaging with our services. Providing false or misleading information constitutes a breach of these Terms and may result in immediate termination of services without refund.
5. Buyer & Seller Obligations
5.1 Seller Obligations
- All digital assets listed must be legitimately owned by the seller with full rights to sell.
- Sellers must provide accurate, verifiable information about the asset (earnings, traffic, account standing).
- Sellers must not list assets that are under active legal dispute, policy suspension, or contain fraudulent metrics.
- Sellers must cooperate fully with Temzyola Tech's verification process.
- Sellers must complete the transfer of the asset promptly upon payment confirmation from escrow.
5.2 Buyer Obligations
- Buyers must conduct their own due diligence in addition to our verification services.
- Buyers must fund escrow in full before any transfer process begins.
- Buyers must confirm receipt and satisfaction of the asset transfer within the agreed timeframe.
- Buyers must not engage directly with sellers to bypass Temzyola Tech's facilitation process.
Important: Bypassing Temzyola Tech's escrow and facilitation process voids all protections and dispute resolution services we offer. Temzyola Tech accepts no liability for transactions conducted outside our oversight.
6. Escrow Policy
All digital asset transactions facilitated by Temzyola Tech are conducted under our escrow arrangement:
- The buyer remits full payment to Temzyola Tech before any asset transfer begins.
- Funds are held by Temzyola Tech until the buyer confirms successful receipt and satisfaction of the transferred asset.
- Payment is released to the seller only upon confirmed successful transfer.
- In the event of a disputed transfer, Temzyola Tech will mediate. If mediation fails, a refund of the escrowed amount (less any applicable service fees) will be issued to the buyer.
- Escrow funds are held for a maximum of 14 calendar days after payment. If the buyer fails to confirm or raise a dispute within this period, funds will be released to the seller.
7. Fees & Payments
Temzyola Tech charges service fees for brokerage and facilitation. Fees vary by service type and transaction size and are communicated clearly before any engagement begins. By proceeding with a transaction, you accept the agreed fee structure.
- All fees are quoted and payable in Nigerian Naira (NGN) unless otherwise agreed in writing.
- Service fees are earned upon successful completion of the service and are non-refundable once the service has been fully rendered.
- For TikTok Ads management, ad spend is paid directly to TikTok. Our management fee is separate and is due monthly in advance.
- Temzyola Tech reserves the right to update its fee schedule with 7 days' notice to active clients.
8. Refund Policy
8.1 Digital Asset Brokerage
Refunds are available if the seller fails to complete the asset transfer, or if the asset is found to materially misrepresent the verified information (e.g., AdSense account has been banned at the time of transfer). Refunds are processed within 5–10 business days to the buyer's original payment method.
8.2 ADX Approval Service
Our ADX approval service fee is charged after a free eligibility check. If we accept your site and Google's independent review results in rejection for reasons within our scope (e.g., not due to content violations introduced after submission), we will re-apply at no additional charge. Refunds are not issued for Google-side rejections caused by client-side policy violations discovered during review.
8.3 TikTok Ads Management
Management fees paid are non-refundable once campaign setup and management work has commenced. Ad spend paid directly to TikTok is governed by TikTok's own refund policies.
8.4 General
No refund will be issued where the client has provided false information, violated these Terms, or acted in bad faith. All refund requests must be submitted in writing to hello@temzyolatech.com within 7 days of the triggering event.
9. ADX Approval Service Terms
- Google ADX approval is subject to Google's independent review and is not guaranteed by Temzyola Tech.
- We provide a free eligibility assessment and will only proceed with paid engagements for sites we believe have a strong chance of approval.
- The client must maintain the site's content and traffic quality throughout the review period. Changes that violate Google's policies after submission may result in rejection, for which Temzyola Tech accepts no liability.
- Our service fee covers the application process only. Ongoing Ad Manager account management is a separate service.
10. TikTok Ads Service Terms
- Clients must provide accurate business information and ensure all products/services being advertised comply with TikTok's advertising policies and applicable Nigerian and international laws.
- Temzyola Tech is not responsible for ad account suspensions caused by the client's product, service, or content violating TikTok's policies.
- Campaign performance targets discussed during briefing are estimates based on experience and are not guaranteed outcomes.
- Clients retain ownership of their TikTok Business Account and ad data at all times.
11. Prohibited Activities
Users are strictly prohibited from:
- Using our services for money laundering, fraud, or any illegal activity under Nigerian law or international law.
- Listing digital assets with inflated, purchased, or artificial metrics.
- Attempting to circumvent Temzyola Tech's escrow to transact directly with the other party.
- Impersonating another person or entity when engaging with our services.
- Using our platform to list assets that violate third-party platform policies (e.g., YouTube, Google AdSense, TikTok).
- Engaging in harassment, threats, or abusive conduct toward Temzyola Tech staff or other users.
- Reverse engineering, copying, or reproducing any aspect of our service methods or intellectual property.
Violation of these prohibitions will result in immediate termination of services and may be reported to relevant authorities, including the Nigerian Police Force and the Economic and Financial Crimes Commission (EFCC), where applicable.
12. Limitation of Liability
To the maximum extent permitted by law:
- Temzyola Tech's total liability for any claim arising from these Terms or our services shall not exceed the total fees paid by the client for the specific service in question.
- We are not liable for indirect, incidental, consequential, or punitive damages including loss of profits, loss of data, or reputational harm.
- We are not liable for the actions of third-party platforms (Google, YouTube, TikTok) including but not limited to account bans, policy changes, or monetization policy updates.
- We are not liable for market fluctuations in the value of digital assets after a transaction has been completed.
Nothing in these Terms limits liability for fraud, willful misconduct, or personal injury caused by our negligence, as required under Nigerian consumer protection law.
13. Intellectual Property
All content on our website and communications — including text, design, branding, logos, and service methodologies — is the intellectual property of Temzyola Tech Limited and is protected under Nigerian copyright law and applicable international conventions.
You may not reproduce, distribute, modify, or create derivative works of our content without prior written consent from Temzyola Tech Limited.
14. Dispute Resolution & Governing Law
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including the Companies and Allied Matters Act (CAMA) 2020, the Federal Competition and Consumer Protection Act (FCCPA) 2018, and all applicable Nigerian regulations.
14.2 Dispute Resolution
In the event of a dispute:
- Step 1 – Informal Resolution: The parties shall first attempt to resolve the dispute informally by contacting Temzyola Tech at hello@temzyolatech.com. We will respond within 5 business days.
- Step 2 – Mediation: If informal resolution fails, the parties agree to attempt mediation before any formal legal proceedings.
- Step 3 – Litigation: If mediation fails, disputes shall be resolved in the courts of the Federal Republic of Nigeria with jurisdiction in the state in which Temzyola Tech Limited is registered.
For international clients, we will work in good faith to accommodate dispute resolution in accordance with applicable international agreements, but Nigerian law shall ultimately prevail.
15. Amendments
Temzyola Tech Limited reserves the right to amend these Terms at any time. We will notify active clients of material changes with at least 7 days' notice via email or WhatsApp. Continued use of our services after the effective date of updated Terms constitutes acceptance of the changes.
